Can a cash buyer assign my contract to someone else in Colorado?

What the form says.
The Commission's Contract to Buy and Sell Real Estate (Residential) states in Section 2.2 that the contract is not assignable by the buyer unless otherwise specified in Additional Provisions (VERIFIED). That is the whole rule for most offers. If the buyer intends to assign the contract to another investor before closing, the offer will carry an added sentence granting that right, and the seller can accept it, strike it, or condition it on the original buyer staying liable.

The practical reason to care is who closes. An assigned contract can close with a party the seller never met, on a timeline the seller never negotiated with that party. Section 4.4.3's funds representation and Section 4.3's earnest money were made by the original buyer; ask whether they follow the assignment.
What Colorado law does and does not say.
No Colorado statute read here regulates wholesaling, the assignment of purchase contracts, or the disclosure of an assignment fee to the seller. The two 2026 bills that touched real estate brokerage, HB26-1287 and HB26-1426, address trust accounts, affiliated business disclosures, supervision of confidential information and a broker's duty to advise a consumer to seek legal advice before signing a principal's own contract, and neither mentions assignment (VERIFIED from the bill pages and the enrolled act).

What lets an unlicensed person buy and later assign or resell an interest is the exemption for a person acting on its own behalf as principal in acquiring or negotiating to acquire an interest in real estate (C.R.S. 12-10-201(6)(b)(IV), VERIFIED). A person who is really negotiating for others for compensation needs a license, and acting without one is a class 2 misdemeanor (PROBABLE, from a secondary source citing C.R.S. 12-10-223).
What a licensed buyer owes you.
If the buyer holds a Colorado broker license and is buying on their own account, Commission Rule 6.17(B) requires them to disclose in the contract or a separate concurrent writing that they are a licensed broker (VERIFIED). A cash offer from a licensee that does not say so is missing a required line.
